Terms of Service

1. The Service

Enuma Index provides timing bands, ledgers, briefs, and related tools that help you visualize and reflect on the timing of your own decisions. The Service is an experimental tool for entertainment and personal optimization only. Nothing in the Service is investment, trading, legal, tax, medical, or other regulated advice, and no outcomes are guaranteed.

2. Eligibility and accounts

• You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service.
• You agree to provide accurate and complete account information and to keep it up to date.
• You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
• If you become aware of unauthorized access to your account, you must notify us promptly.

3. Subscriptions, billing, and cancellations

• Access to certain features of the Service requires a paid subscription. By starting a subscription, you authorize us and our payment processor to charge your designated payment method on a recurring basis (for example, monthly) until you cancel.
• Prices, plans, and features may change from time to time. Any changes to subscription pricing will be communicated in advance and will not apply retroactively to already-paid billing periods.
• Unless otherwise stated, subscriptions renew automatically at the end of each billing period until you cancel. When you cancel, your access typically continues until the end of the current billing period; you will not receive a refund for the remaining days of that period unless required by applicable law.
• We may suspend or terminate your access to the Service for non-payment or if we detect fraud, abuse, or material violation of these Terms.

4. Acceptable use

You agree not to, and not to allow third parties to:

• Use the Service in any manner that violates applicable law or regulation.
• Access or attempt to access the Service by any means other than the interfaces we provide.
• Interfere with or disrupt the integrity or performance of the Service, including by attempting to probe, scan, or test for vulnerabilities without authorization.
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying models, except to the extent that such restrictions are prohibited by law.
• Resell, lease, sublicense, or otherwise provide access to the Service to third parties without our prior written consent.
• Use the Service to store or process unlawful content, or content that violates the rights of others (including privacy, publicity, and intellectual property rights).

5. Your content

You may submit content to the Service, including calendar metadata, ledger entries, notes, and other information ("Your Content"). You retain any rights you have in Your Content.

• You grant Enuma Index a worldwide, non-exclusive, royalty-free license to host, use, process, and display Your Content as reasonably necessary to operate, maintain, and improve the Service, in accordance with our Privacy Policy.
• You represent and warrant that you have all rights necessary to submit Your Content to the Service and to grant us this license.

6. Intellectual property

The Service, including all software, interfaces, designs, text, graphics, logos, and other content (excluding Your Content), is owned by or licensed to Enuma Index and is protected by copyright, trademark, and other laws. Except for the limited rights expressly granted in these Terms, no license or other right in or to the Service is granted to you, and all rights are reserved.

7. No investment, trading, or medical advice

The Service is designed as a timing discipline and reflective tool. It does not provide investment, trading, legal, tax, medical, or other professional advice. You are solely responsible for your own decisions and outcomes. You should consult qualified professionals before making decisions that could affect your finances, health, or legal rights.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. ENUMA INDEX DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY PARTICULAR OUTCOME WILL RESULT FROM USING THE SERVICE.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ENUMA INDEX AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR USE OF OR INABILITY TO USE THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY; OR (C) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

TO THE EXTENT ANY LIABILITY IS FOUND DESPITE THE ABOVE, OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (I) THE AMOUNT YOU HAVE PAID TO ENUMA INDEX FOR ACCESS TO THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (II) ONE HUNDRED U.S. DOLLARS (USD $100).

10. Indemnity

To the extent permitted by law, you agree to indemnify and hold harmless Enuma Index and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, Your Content, or your violation of these Terms.

11. Termination

You may stop using the Service at any time. We may suspend or terminate your access to the Service (or any part of it) at any time with or without cause, including if you violate these Terms or we discontinue the Service. Upon termination, the rights granted to you under these Terms will immediately cease. Sections that by their nature should survive termination (including ownership, disclaimers, limitations of liability, and indemnity) will continue to apply.

12. Governing law and disputes

These Terms are governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of laws principles. Any disputes arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the state and federal courts located in Delaware, and you and Enuma Index consent to the personal jurisdiction of those courts.

13. Changes to these Terms

We may modify these Terms from time to time. If we make material changes, we will provide notice by updating the "Last updated" date at the top of this page and, where appropriate, by sending an email or in-app notification. Your continued use of the Service after the revised Terms become effective means you accept the changes.
